These Terms and Conditions govern the relationship between GrowUp (“Supplier”) and the entity or individual purchasing our services (“Customer”). In the world of search, clarity is as important as rankings. This document ensures we are both on the same page.

1. Key Definitions for 2026
To keep things simple, here is what we mean when we use these terms:
- Deliverables: The specific SEO audits, keyword strategies, content, or ad campaigns defined in your SOW.
- Search Platforms: 3rd party environments including, but not limited to, Google, Bing, OpenAI, and various Social Search engines.
- SOW (Statement of Work): The document that breaks down exactly what we are doing for you this month or quarter.
- AI-Assisted Content: Materials generated or optimised using Large Language Models (LLMs) to improve efficiency and relevance.
2. Our Obligations
We provide search marketing services with the skill and care expected of a top-tier agency. However, because search engines are third-party entities, we must clarify:
- No Guarantees: While we aim for the top, we do not "guarantee" specific rankings or traffic volumes. Search algorithms are volatile and owned by third parties.
- Updates & Transparency: We will provide regular updates on performance. If a major algorithm shift occurs, we will pivot our strategy as part of our reasonable diligence.
- Professional Standards: We only practice "White Hat" techniques. We will not engage in practices that risk your domain’s long-term health.
3. Your Obligations
Our success is a two-way street. To perform our job, the Customer agrees to:
- Platform Access: Provide timely access to Google Search Console, GA4, Google Ads, and your CMS. Delays in access will result in delays in Deliverables.
- Approvals: Review and Accept (or reject with feedback) any Deliverables within 5 Business Days. If we don’t hear from you by the 6th day, we’ll consider it Accepted so we can keep the momentum going.
- Accuracy: Ensure all business information provided to us for content creation is accurate and compliant with your industry’s specific regulations.
4. Fees, Payment & The "Ghosting" Clause
We value our team’s capacity. Our payment terms are designed to keep the agency running smoothly:
- Payment Terms: Invoices must be paid within 30 Business Days. If an invoice is overdue, we reserve the right to pause all campaign activity immediately.
- Late Interest: Unpaid amounts will accrue interest at 6% above the NatWest base rate.
- The Non-Utilisation Fee: If you continue to pay your retainer but do not provide the necessary approvals or access for us to work for three consecutive months, a 2.5% monthly fee will be applied to the held balance to cover our reserved capacity and administrative overhead.
5. Intellectual Property (IPR)
Who owns what? Here is the breakdown:

6. Liability & Search Volatility
We are experts, but we don't control the internet. Our liability is limited as follows:
- Algorithm Shifts: We are not liable for any loss of traffic or revenue caused by third-party algorithm updates (e.g., Google Core Updates).
- Limit of Liability: Our total liability for any claim is limited to the total Fees paid by you in the 12 months preceding the claim.
- Consequential Loss: We are not liable for indirect losses, such as "lost profits" or "lost opportunity."
7. Termination
If things aren't working out, either party can terminate the agreement with written notice if a material breach isn't fixed within 20 Business Days. Upon termination, all outstanding invoices for work completed become immediately payable.
8. Governing Law
This agreement is governed by the laws of England and Wales. Any disputes will be handled via our tiered resolution process (Account Manager escalation first, then Management, then the Courts).
